Terms of service
Last updated: October 2026 · Version 1.0
These Terms of Service (the "Terms") form a binding agreement between you and Aretè Tecnologia di Antonio Sambataro ("Aretè", "PlanMesh", "we", "us"), a sole proprietorship with registered office in Belpasso (CT) 95032, Italy, VAT number IT05945010873. They govern your access to and use of PlanMesh, our website planmesh.io and related services (together, the "Service"). By accepting an invitation, signing an order form or using the Service, you accept these Terms on behalf of yourself and, where applicable, the organisation you represent, and you confirm you are authorised to bind it.
1. The Service
PlanMesh turns questions asked in plain language into SQL, runs it read-only on the warehouses and databases you connect, and turns the results into dashboards you can share. It is offered in two forms: a hosted service at app.planmesh.io, and an installation you run in your own cloud account or on your own infrastructure. The scope, the number of users and any usage limits are those agreed in your order form. We may improve, modify or discontinue features over time; we will give reasonable notice of material adverse changes to paying customers.
2. Accounts and eligibility
PlanMesh accounts are created by invitation from your organisation's administrator. You must provide accurate information, keep your credentials secure, and be at least 16 years old and legally able to enter into a contract. You are responsible for all activity under your account and for the users you invite into your workspace, and you must promptly notify us of any unauthorised use.
3. Fees, billing and cancellation
- Fees, billing periods, renewal and payment terms are those stated in your order form. Prices are exclusive of any applicable taxes unless stated otherwise.
- Except where required by mandatory law (including EU/Italian consumer withdrawal rights, where they apply), fees already paid are non-refundable and there is no refund for partial billing periods.
- We may change prices with at least 30 days' notice, effective from your next billing period.
- If a payment fails, we may suspend the account after reasonable notice.
4. Acceptable use
Your use of the Service must comply with our Acceptable Use Policy (the "AUP"), which is incorporated into these Terms. In summary, you may not use the Service to break the law, infringe third-party rights, endanger or probe the Service or other tenants, or abuse its resources.
5. Your data and our platform (intellectual property)
You own your data. As between the parties, you retain all rights, title and interest in the data in the warehouses and databases you connect and in the results PlanMesh reads from them ("Customer Data"). You grant us only the limited licence needed to read and process Customer Data to provide the Service, and to do so as your processor under the Data Processing Agreement. You warrant that you have the right to process Customer Data and that your use complies with applicable law. PlanMesh reads Customer Data in place and does not replicate your tables, which remain in your own systems.
We own the platform. Aretè and its licensors retain all rights in the PlanMesh software, user interface, documentation, trademarks and other materials. Except for the rights expressly granted here, no licence is given, and you may not copy, resell, reverse engineer (except as permitted by mandatory law), or create derivative works of the Service.
6. Open-source components
PlanMesh works with established open-source projects, including Trino and Apache Iceberg, which are licensed under the Apache License 2.0 and remain the property of their respective owners and contributors. Your use of those components is subject to their own licences. PlanMesh's own code, engine and interface are proprietary works developed independently by Aretè. Product and project names referenced here are trademarks of their respective owners; their use does not imply endorsement.
7. Installation addendum
If you run PlanMesh in your own cloud account or on your own infrastructure, we grant you a non-exclusive, non-transferable, revocable licence to install and run PlanMesh on infrastructure you control, for your internal business purposes, for the term of your subscription and subject to any user or capacity limits agreed. You are responsible for operating, securing, backing up and updating your own installation and the underlying infrastructure, except for any part of that work we agree in writing to perform for you. In this mode, Customer Data (and, where you point PlanMesh at a model endpoint you control, your questions to the model) remain on your infrastructure. You may not sublicense, redistribute or offer the software as a service to third parties without our written consent.
8. Warranties and disclaimers
We provide the Service with commercially reasonable skill and care. Except as expressly stated and to the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free or free of harmful components. Any uptime or support commitments are only those expressly stated in your order form.
9. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special or consequential damages, or for loss of profits, revenue, goodwill or data, arising out of or relating to the Service. Our total aggregate liability arising out of or relating to the Service in any 12-month period is limited to the amounts you paid us for the Service in that period. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, fraud, or wilful misconduct or gross negligence.
10. Indemnity
You will defend and indemnify Aretè against third-party claims, damages and reasonable costs arising from your Customer Data, your use of the Service in breach of these Terms or the AUP, or your infringement of applicable law or third-party rights.
11. Term, suspension and termination
These Terms apply for as long as you use the Service. We may suspend or limit access without prior notice where necessary to protect the Service, other tenants or third parties (for example, in response to serious abuse, a security threat, or non-payment), restoring access once the cause is resolved where practicable. Either party may terminate for material breach that remains uncured 15 days after written notice. On termination, your right to use the Service ends and Customer Data is handled as set out in the DPA. Provisions that by their nature should survive termination will survive.
12. Changes to the Service and to these Terms
We may update these Terms from time to time. For material changes we will give reasonable notice by email and/or an in-product notice before they take effect. Continued use of the Service after the effective date constitutes acceptance; if you do not agree, you should stop using the Service and may cancel.
13. Governing law and jurisdiction
These Terms are governed by the laws of Italy, without regard to conflict-of-law rules. The courts of Catania, Italy have exclusive jurisdiction over any dispute arising out of or relating to them, without prejudice to any mandatory consumer-protection rights that entitle a consumer to bring proceedings in another forum. Questions about these Terms can be sent to hello@planmesh.io.
